1. Introduction

Welcome to Liaison. Liaison is a B2B2C WhatsApp AI chatbot platform operated by Handoff Labs AI (“Company”, “we”, “us”, or “our”). By accessing or using our B2B platform dashboard, our marketing website, or subscribing to our B2C WhatsApp chatbot services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

2. Description of Service

Liaison allows business owners (“Tenants”) to configure and deploy personalized artificial intelligence assistants that communicate with their end-users (“Subscribers”) via the WhatsApp Business Cloud API. Businesses are billed monthly platform fees, and their Subscribers pay monthly subscription fees to access the respective AI persona. We calculate and process royalty splits back to the Tenant through Stripe Connect.

3. AI-Generated Content Disclaimer

Our chatbot services utilize advanced Generative AI models, including Google Gemini and other third-party LLMs. We make no guarantees regarding the accuracy, completeness, appropriateness, or truthfulness of any AI-generated messages. Content generated by the AI assistants is for informational, conversational, or educational purposes only and should not be construed as professional medical, legal, financial, or spiritual advice.

4. WhatsApp Messaging & STOP / START Keywords

Subscribers may opt out of receiving messages from an AI assistant at any time by texting the word “STOP” (case-insensitive) to the WhatsApp number of the bot. Upon receiving a “STOP” command, the platform will immediately mute the bot and suspend outbound messages. Subscribers can opt back in at any time by sending the word “START”. Muting a bot via the “STOP” command does not automatically cancel your monthly billing subscription; you must use the Stripe Customer Portal link provided in the opt-out message to cancel recurring charges.

5. Billing, Subscriptions, and Setup Fees

B2B Platform Fees: Business owners pay a recurring monthly fee based on their chosen tier (Starter: $199, Plus: $299, Pro: $499) and a one-time setup fee ($29.99 Self-Service or $129.99 White-Glove). Platform billing begins immediately upon completion of onboarding.
B2C Subscriber Fees: End-users are billed monthly recurring subscription fees ($4.99, $9.99, or $19.99) or one-time credit top-ups ($3.00 for Media Refills).
Royalty Payouts: Platform fees, setup fees, and top-up packs are non-refundable. Royalty payouts are processed via Stripe Connect. If a Tenant has not connected their Stripe account, Liaison will hold the royalty balance until onboarding with Stripe Connect is complete.

6. Stripe Connect & Business Accounts

Tenants who connect Stripe accounts to receive subscriber royalties agree to be bound by the Stripe Connected Account Agreement. We reserve the right to withhold payouts or suspend tenant access if we detect fraudulent activity, high chargeback ratios, or violations of Meta's WhatsApp Business Policy.

7. Limitation of Liability

In no event shall Liaison, Handoff Labs AI, or its partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or customer relationships arising out of AI-generated content, WhatsApp API rate limiting, or Stripe Connect transaction failures.
